1. About TradeBoard
TradeBoard is a business-to-business vehicle deal tracking service operated by TradeBoard Ltd. It helps trade vehicle sellers, buyers and brokers manage deal progress, documents, files, comments, collection details, locations and access.
TradeBoard is not a consumer marketplace, payment service, escrow service, inspection service, finance provider or legal adviser.
2. Who may use TradeBoard
TradeBoard is for business use by trade vehicle professionals and authorised people working with them.
During beta, TradeBoard access is intended for invited or approved test users only.
By using TradeBoard, you confirm that:
- you are using the service for business purposes;
- you are authorised to use the service for your organisation or role;
- the information you provide is accurate and kept up to date;
- you will comply with these Terms and the Acceptable Use Policy.
3. Accounts and access
You must keep your account secure. You must not share login links, passwords or authentication access with anyone else.
Access to a deal is controlled by the people listed on that deal. You may only access deals where you have been invited, listed or otherwise authorised.
TradeBoard may suspend or restrict access where we reasonably believe this is needed for security, legal compliance, misuse prevention, non-payment where paid terms apply, or protection of users and customers.
4. Deal information
Users and customer organisations are responsible for information they add to TradeBoard. This includes vehicle details, prices, comments, locations, uploaded files and access lists.
You must not upload or enter information that is unlawful, misleading, unnecessary, excessive, confidential without authority, or outside the intended business purpose of the service.
During beta, users should avoid uploading unnecessary or high-risk personal data and should use suitable test or limited business data where practical.
TradeBoard does not verify the commercial accuracy of deal information unless separately agreed in writing.
5. Files and uploads
You are responsible for files you upload. You must ensure that you have the right to upload and share those files with the people listed on the deal.
TradeBoard may remove files or restrict access if we reasonably believe they breach these Terms, the Acceptable Use Policy, law or security requirements.
6. Notifications
TradeBoard may send operational emails about account access, invitations, file uploads, comments, status changes and other workflow events. These emails are part of the service.
7. Availability and changes
We aim to keep TradeBoard available and reliable, but we do not guarantee uninterrupted service. Maintenance, provider outages, security incidents or changes may affect availability.
We may update, improve, suspend or remove features where reasonably necessary.
8. Customer responsibilities
Customer organisations and users are responsible for:
- deciding who should be added to deals;
- removing access when no longer appropriate;
- checking the accuracy of deal data;
- keeping business records they are legally required to keep;
- using TradeBoard in line with their own legal obligations;
- ensuring staff and representatives use the service appropriately.
9. Data protection
Personal data is handled as described in the Privacy Notice and, where applicable, the Data Processing Agreement.
10. Intellectual property
TradeBoard and its software, branding, design and documentation belong to TradeBoard or its licensors.
Users and customer organisations keep ownership of content they upload or enter. You grant TradeBoard the rights needed to host, process, display, transmit and back up that content for the purpose of providing the service.
11. Fees and billing
During beta, TradeBoard access is free unless TradeBoard Ltd agrees otherwise in writing with a customer organisation.
TradeBoard Ltd does not currently collect payment details through TradeBoard and will not charge beta users automatically.
If paid plans are introduced, TradeBoard Ltd will explain the applicable fees, payment method, billing period, cancellation rules, taxes and any customer approval steps before any charge applies. Paid use may require acceptance of updated Terms, a Billing Policy, an order form or a separate customer agreement.
12. Liability
TradeBoard is provided for business workflow support. To the fullest extent permitted by law, TradeBoard is not responsible for:
- the underlying vehicle transaction;
- vehicle condition, ownership, finance status or provenance;
- payment disputes;
- decisions made using inaccurate or incomplete user-entered information;
- losses caused by unauthorised user access resulting from customer-side account misuse.
Nothing in these Terms excludes liability that cannot be excluded by law.
Detailed liability caps and exclusions must be reviewed by a solicitor before launch.
13. Termination
You may stop using TradeBoard at any time. A customer organisation may request closure of its account or deletion of data subject to retention requirements.
TradeBoard may suspend or terminate access if these Terms are breached, fees are unpaid where paid terms apply, the service is misused, or continued access creates legal, security or operational risk.
14. Changes to these Terms
We may update these Terms. Where changes are material, users may be asked to accept the new version before continuing to use TradeBoard.
15. Governing law
These Terms are intended to be governed by the laws of England and Wales, subject to solicitor review before paid launch.
The courts of England and Wales are expected to have jurisdiction, subject to solicitor review before paid launch.
